1. Introduction

Welcome to DigitalSecurity1 Inc. (hereafter “DigitalSecurity1”, “we”, “us”, or “our”). These Terms of Service (the “Terms”) govern your access to and use of our services, including software development, IT services, networking services, CCTV and security-camera systems, and cybersecurity/information-security solutions (collectively, the “Services”). By using or accessing our Services, you agree to these Terms. If you do not agree with any part of these Terms, you must not use our Services.

2. Scope of Services

DigitalSecurity1 provides a wide range of services including, but not limited to: software design, development and maintenance; managed IT services; network design and support; installation, configuration and monitoring of security-camera (CCTV) systems; cybersecurity consulting, assessments, penetration testing, incident response and managed security services. While we endeavour to provide professional, reliable and up-to-date solutions, you acknowledge that no service or system is entirely immune to vulnerabilities or threats.

3. Modifications to Terms

We reserve the right, at our sole discretion, to modify, amend or replace these Terms at any time. We will notify you of significant changes by posting a revised version on our website or via email when applicable. Continued use of the Services after such changes constitutes your acceptance of the modified Terms. It is your responsibility to review these Terms periodically.

4. User Account, Registration and Responsibilities

To access certain parts of our Services you may be required to register an account (an “Account”). You agree to (a) provide true, current, accurate and complete information as requested during registration, and (b) maintain and promptly update such information to keep it accurate. You are solely responsible for all activity occurring under your Account credentials, and you must safeguard your credentials from unauthorised use. You agree not to share your login credentials with any third party. You will immediately notify us of any unauthorised use of your Account or any other breach of security. We reserve the right to suspend or terminate your Account if you suspect any misuse or breach of security.

5. Acceptable Use and Prohibited Conduct

You agree that your use of our Services will comply with all applicable laws, regulations and these Terms. You must not use our Services to: • engage in illegal or fraudulent activities, including hacking, distributing malware, unauthorized access, denial-of-service attacks or other cyber-attacks; • violate any intellectual property rights, privacy rights or other rights of third parties; • interfere with or disrupt the integrity or performance of our Services or the systems or networks of other users; • use our Services to store or transmit malicious content, obscene, defamatory or hateful materials, or to promote illegal behaviour; • attempt to reverse-engineer, decompile, disassemble or otherwise translate any portion of the software provided by us, unless permitted by law; • share or resell access to our Services unless expressly permitted in a written agreement with us. We may investigate and cooperate with law enforcement authorities regarding any suspected violation of the above. Violations may result in suspension or termination of your access to our Services, and/or legal liability.

6. Intellectual Property Rights

All rights, title and interest in and to our Services, including without limitation any software, documentation, designs, inventions, logos, trade-marks, processes, and other proprietary materials, remain with DigitalSecurity1 or our licensors. These Terms do not grant you any ownership of our intellectual property. You may be granted a limited, revocable, non-exclusive licence to use certain elements of the Services only as expressly set out in a separate agreement or user licence. Unless permitted in writing by us, you must not copy, modify, create derivative works from, distribute, publicly display or exploit our Services or materials for commercial purposes.

7. Third-Party Services and Dependencies

Our Services may incorporate or link to third-party software, services, websites or resources. Your use of those third-party services is subject to their terms and policies, and we do not warrant or assume any responsibility for their availability, accuracy, completeness or quality. We may provide such links as a convenience only.

8. Warranty Disclaimer

To the fullest extent permitted by applicable law, our Services are provided on an “as is”, “as available” basis, without any representation or warranty of any kind—whether express, implied or statutory. Without limiting the foregoing, we do not warrant that: • the Services will meet your specific requirements; • the Services will be uninterrupted, timely, secure or error-free; or • any defects or vulnerabilities in the Services will be completely corrected. You acknowledge that cybersecurity and IT services involve inherent risks, including potential data loss, system failures, cyber-attacks and other unanticipated events; and you assume such risks when you engage our Services.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall DigitalSecurity1, its officers, directors, employees, agents or affiliates be liable for any indirect, incidental, special, consequential or exemplary damages (including, but not limited to, loss of use, loss of data, business interruption, loss of profits or goodwill) arising out of or in connection with these Terms or your use of or inability to use the Services, even if we have been advised of the possibility of such damages. Our total cumulative liability to you for all claims under or relating to these Terms or the Services shall not exceed the amount (if any) you have paid to us under the applicable service agreement during the twelve (12) month period immediately preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of certain liabilities, so some of the above limitations may not apply to you.

10. Indemnification

You agree to defend, indemnify and hold harmless DigitalSecurity1, its officers, directors, employees, agents, affiliates and subcontractors from and against any and all claims, liabilities, losses, damages, costs or expenses (including reasonable legal fees and costs) arising out of or related to (a) your use of the Services, (b) your violation of these Terms, or (c) your violation of any rights of a third party.

11. Termination and Suspension

We may, in our sole discretion, suspend or terminate your access to all or part of the Services at any time, with or without notice, for any reason including, but not limited to: your breach of these Terms, suspected fraudulent or illegal activity, or if we decide to discontinue offering the Services in whole or in part. Upon termination, you must cease all use of the Services and destroy all copies of materials you have obtained from us (if required under the applicable agreement). Any provisions of these Terms which, by their nature, survive termination (including sections “Intellectual Property Rights”, “Limitation of Liability”, “Indemnification”, “Governing Law and Dispute Resolution”) shall continue in full force.

12. Governing Law and Dispute Resolution

These Terms and your use of our Services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. You and we hereby submit to the exclusive jurisdiction of the courts located in the Province of Ontario, Canada for the resolution of any disputes, claims or actions arising out of or relating to these Terms or your use of the Services.

13. Severability and Waiver

If any provision of these Terms is held invalid or unenforceable under applicable law, that provision will be enforced to the maximum extent permissible and the remainder of these Terms will continue in full force and effect. Our failure to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.

14. Entire Agreement

These Terms (along with any service agreement or supplementary terms you enter into with us) constitute the entire agreement between you and DigitalSecurity1 regarding your use of the Services, and supersede any prior or contemporaneous agreements, communications and proposals, whether oral or written.
